Terms of Service

These Terms of Service ("Terms") govern your access to and use of Kickoff ("Service"), available at [PRODUCT_URL], operated by Nori Labs, Inc. ("Company," "we," "us," or "our"), a Delaware corporation.

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Definitions

  • "User," "you," "your" — any individual or entity that accesses or uses the Service.
  • "User Content" — any data, text, files, or other materials you upload, submit, or generate through the Service.
  • "Subscription" — a paid plan providing access to premium features of the Service.

2. Account Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us immediately at hey@getnori.ai if you suspect unauthorized access.

We authenticate users via email/password or OAuth through third-party identity providers. Session tokens are stored server-side in our database.

3. Subscriptions & Payments

Paid features are billed on a recurring basis through Stripe, our PCI DSS-compliant payment processor. All payment information (credit card numbers, billing details) is collected and processed exclusively by Stripe. We never store, access, or transmit your card details. We retain only your Stripe customer ID and subscription status.

  • Billing cycle. Subscriptions renew automatically at the end of each billing period unless cancelled.
  • Cancellation. You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period; no prorated refunds are issued for partial periods.
  • Price changes. We will notify you at least 30 days before any price increase. Continued use after the change constitutes acceptance.
  • Failed payments. If payment fails, we may suspend access to paid features until the issue is resolved.

4. Acceptable Use

You agree not to:

  • Violate any applicable law or regulation.
  • Infringe the intellectual property or privacy rights of any third party.
  • Upload malicious code, viruses, or any harmful content.
  • Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure.
  • Use the Service to send spam or unsolicited communications.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Resell, sublicense, or redistribute the Service without prior written consent.
  • Use automated tools (bots, scrapers) to access the Service except via our documented APIs.
  • Interfere with or disrupt the integrity or performance of the Service.

We reserve the right to suspend or terminate accounts that violate these Terms at our sole discretion.

5. Intellectual Property

Our IP

The Service, including its design, code, branding, documentation, and all underlying technology, is and remains the exclusive property of Nori Labs, Inc. These Terms grant you no ownership rights in the Service.

Your Content

You retain all ownership rights to your User Content. By using the Service, you grant us a limited, non-exclusive, worldwide license to host, process, and display your User Content solely as necessary to operate and provide the Service to you. This license terminates when you delete your content or your account.

Feedback

Any suggestions, ideas, or feedback you provide about the Service may be used by us without obligation or compensation to you.

6. Third-Party Services

The Service integrates with third-party services, including but not limited to:

  • Stripe — payment processing
  • PostHog — analytics (opt-in only; see our Privacy Policy)
  • No additional third-party services

Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party service.

7. Availability & Modifications

The Service is hosted on Vercel (edge/serverless infrastructure) and backed by Neon PostgreSQL. We strive for high availability but do not guarantee uninterrupted or error-free operation.

We may modify, suspend, or discontinue any part of the Service at any time. For material changes that negatively affect paid users, we will provide at least 30 days' notice.

8. Account Termination

  • By you. You may delete your account at any time. Upon deletion, we will remove your User Content and personal data in accordance with our Privacy Policy.
  • By us. We may suspend or terminate your account immediately if you breach these Terms, if required by law, or if the Service is discontinued. We will attempt to provide reasonable notice except where prohibited by law or where immediate action is necessary.
  • Effect of termination. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive (including IP, Limitation of Liability, Indemnification, and Dispute Resolution) will survive termination.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NORI LABS, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Nori Labs, Inc. and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

12. Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict-of-law provisions.

Informal Resolution

Before filing any formal proceeding, you agree to contact us at hey@getnori.ai and attempt to resolve the dispute informally for at least 30 days.

Arbitration

If informal resolution fails, any dispute shall be resolved by binding arbitration administered under the rules of the American Arbitration Association (AAA). Arbitration will take place in Delaware or remotely at the arbitrator's discretion. Each party bears its own costs. You and we agree to waive any right to a jury trial or to participate in a class action.

Exceptions

Either party may seek injunctive or equitable relief in any court of competent jurisdiction for claims involving intellectual property infringement or unauthorized access to the Service.

13. General Provisions

  • Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nori Labs, Inc. regarding the Service.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in full effect.
  • Waiver. Failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign our rights and obligations freely (e.g., in connection with a merger or acquisition).
  • Notices. We may send notices via email to the address associated with your account or through the Service interface.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect via email or an in-app notice. Continued use of the Service after the effective date constitutes acceptance. If you disagree, you must stop using the Service and delete your account.
